This is a commercial license, not open source. By purchasing and using this software you agree to the terms below. This document is provided as-is and does not constitute legal advice. Consult a qualified attorney for your specific situation.

1. Definitions

  • "Licensor" means the author/owner of Basetier (the "Product").
  • "Licensee" means the individual or entity that purchased a license.
  • "Product" means the Basetier codebase, including all source code, templates, documentation, and configuration files provided.
  • "End Product" means a software application or website built by the Licensee using the Product, which is substantially different from the Product itself (i.e., a real product/service, not a re-skin or re-package of the Product).

2. Grant of License

Subject to the terms of this agreement, the Licensor grants the Licensee a non-exclusive, worldwide, royalty-free, perpetual license to:

  1. Use the Product to create End Products.
  2. Modify the Product to create End Products.
  3. Deploy End Products to production, including commercial (paid) services.
  4. Distribute End Products to end users.

There is no limit on the number of End Products the Licensee may create.

3. Restrictions

The Licensee may not:

  1. Redistribute the Product, in whole or in part, in source or compiled form. This includes uploading to public repositories, package registries, or any platform where third parties can obtain the Product.
  2. Resell, sublicense, or transfer the Product itself (as distinct from End Products built with it).
  3. Repackage the Product with minor changes and offer it as a competing starter kit, boilerplate, or template.
  4. Remove or alter the copyright notices or license file, except that End Products do not need to display attribution to the Licensor in their user-facing UI.
  5. Share access to the Product with developers outside the Licensee’s organization. Each developer building with the Product requires their own license.

4. End Products are yours

The Licensee retains full ownership of all End Products created using the Product, including all custom code, branding, business logic, and intellectual property unique to the End Product. This license covers only the Product itself.

5. License Tiers

  • Individual License: Grants rights to one (1) individual developer. Suitable for solo founders and personal projects.
  • Team License: Grants rights to a specified number of developers within one organization (see purchase terms for seat count).
  • Agency License: Grants rights for an agency to build End Products for their clients. Each client End Product is permitted; the Product itself may not be transferred to the client as a reusable template.

6. No Warranty

The Product is provided "as is", without warranty of any kind, express or implied. The Licensor does not warrant that the Product will be error-free or operate without interruption.

7. Limitation of Liability

In no event shall the Licensor be liable for any claim, damages, or other liability arising from or in connection with the Product. The Licensor’s total liability shall not exceed the amount paid by the Licensee for the Product.

8. Support and Updates

  • The Licensee receives updates to the Product for the version line purchased, as determined by the Licensor.
  • Support is provided at the Licensor’s discretion and is not guaranteed unless specified in the purchase terms.

9. Termination

This license terminates automatically if the Licensee breaches any term. Upon termination, the Licensee must cease distributing the Product, though End Products already created and deployed remain owned by the Licensee.

10. Governing Law

This agreement shall be governed by the laws of Hong Kong SAR.
